You cannot sell, cede or hand over a mineral right — or the company that holds one — without the Minister's written consent. We get that consent, then register the cession so the new holder really owns the right.

When Section 11 applies
Section 11 of the MPRDA blocks the transfer, cession, letting, subletting, assignment or disposal of a prospecting or mining right without written Ministerial consent. It also catches a change of controlling interest in an unlisted company that holds a right — so a share sale is usually caught too.
Transactions signed without consent are exposed. The safe sequence is: agree the deal subject to Section 11 consent, lodge the application, then close once consent is granted.
Consent on its own is not the finish line. The right must then be ceded by notarial deed and registered at the Mineral and Petroleum Titles Registration Office. Our fixed fee covers all three stages.
